Terms of Service

Agreement

These Terms govern your access to and use of the Maeve Social website, web application, mobile application, and related services ("Service"). The agreement is between you and LILY DIA PTY LTD (ABN 72 676 064 181), trading as Maeve Social ("Maeve", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you use the Service for an organization, you confirm that you can accept these Terms for that organization.

Eligibility and Availability

You must be at least 18 years old and legally able to enter into this agreement. The Service is currently offered to customers located in Australia, New Zealand, and the United States. You must not create or use an account from another country unless Maeve has agreed otherwise in writing.

Features, integrations, usage limits, and availability may vary by plan, platform, device, and location. We may add, change, or remove features and integrations.

Accounts

You must provide accurate information, keep your login credentials secure, and promptly tell us about suspected unauthorized access. You are responsible for activity performed through your account and for the people you invite to your organizations and workspaces.

The Service

Maeve provides social-media planning, content creation, collaboration, approval, publishing, analytics, inbox, media-management, and AI-assisted features. You decide what to connect, create, approve, and publish. You remain responsible for reviewing content and confirming that it is accurate, lawful, and suitable before publication.

AI-assisted features may draft text, summarize or analyze information, make suggestions, and perform supported actions at your direction. AI output may be inaccurate, incomplete, similar to other material, or unsuitable for your purpose. Review it before use and make any disclosures required by law or a connected platform.

Connected Platforms

Connecting a third-party account authorizes Maeve to receive data from and send requests to that platform on your behalf. You must follow the platform's rules and maintain the permissions needed for Maeve to perform requested actions. Platforms may change their APIs, limits, approval requirements, features, or terms. Maeve is not responsible for a platform's availability, moderation decisions, account actions, or changes.

Connected services include platforms operated by Google and YouTube, Meta, TikTok, LinkedIn, X, Pinterest, and others shown in the Service. Your use of them is also subject to their terms, including the YouTube Terms of Service, Meta Terms, TikTok Terms of Service, LinkedIn User Agreement, X Terms of Service, and Pinterest Terms of Service.

Subscriptions and Billing

Paid subscriptions renew for the same billing period until canceled. You authorize the applicable payment provider to charge the current subscription fees and taxes. Current plans, limits, and prices are shown before purchase. We may change prices for a future billing period.

You can cancel a web subscription through the billing settings. A cancellation takes effect at the end of the current paid period. Subscriptions purchased through an app store are billed, managed, and refunded under that store's rules.

Fees are not refundable except where required by law or where Maeve agrees otherwise. Nothing in these Terms excludes consumer rights or remedies that cannot legally be excluded.

Your Content

You retain your rights in content you submit to the Service. You grant Maeve a non-exclusive, worldwide, royalty-free license to host, store, copy, process, adapt, transmit, display, and publish that content only as reasonably needed to provide, secure, maintain, and improve the Service.

You confirm that you have the rights and permissions needed for your content and its intended use. You are responsible for claims relating to your content, including intellectual-property, privacy, publicity, advertising, and platform-policy claims.

Maeve does not claim ownership of AI output generated for you. As between you and Maeve, you may use that output to the extent rights in it exist. Third-party rights and the terms of an AI or connected platform may still apply.

Acceptable Use

You must not use the Service to break the law or connected-platform rules, infringe another person's rights, publish unlawful or abusive material, exploit children, distribute malware, send spam, manipulate engagement, bypass access controls or rate limits, interfere with the Service, gain unauthorized access, or place Maeve's platform access or other customers at risk.

Suspension and Termination

You may stop using the Service and delete your account at any time. Subscription charges stop only when the subscription is canceled.

We may suspend or terminate access for nonpayment, a breach of these Terms, unlawful conduct, misuse, security risk, repeated platform-rule violations, or where required by a connected platform or law. Where practical, we will give you an opportunity to address the issue.

Warranties and Liability

We do not promise that the Service will always be available, error free, or compatible with every platform change. To the maximum extent permitted by law, Maeve is not liable for indirect, incidental, special, consequential, or punitive loss arising from the Service, connected platforms, your content, or AI output.

Nothing in these Terms excludes, restricts, or modifies a guarantee, right, remedy, or liability that cannot be excluded under applicable law, including the Australian Consumer Law.

Indemnity

To the extent permitted by law, you agree to indemnify Maeve and its personnel against third-party claims, losses, and reasonable costs arising from your content, your unlawful use of the Service, your breach of these Terms, or your infringement of another person's rights.

Governing Law

These Terms are governed by the laws of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction over disputes relating to these Terms. This section does not limit any right you have under a law that applies regardless of this choice.

Changes to These Terms

We may update these Terms as the Service and our legal obligations change. The date at the top of this page shows when they were last updated. We will provide any notice required by applicable law. Your use of the Service after updated Terms take effect constitutes acceptance of those Terms.
